1) Scope of Application

1.1 These General Terms and Conditions (hereinafter “GTC”) of Sanadog GmbH (hereinafter “the Seller”) shall apply to all contracts for the supply of goods concluded between a consumer or trader (hereinafter “the Customer”) and the Seller in respect of the goods displayed by the Seller in its online shop. The inclusion of the Customer’s own terms and conditions is hereby expressly excluded, unless otherwise agreed.

1.2 These GTC shall apply accordingly to contracts for the supply of vouchers, unless expressly stated otherwise.

1.3 For the purposes of these GTC, a consumer means any natural person who enters into a legal transaction for purposes that are predominantly outside his or her trade, business or profession.

1.4 For the purposes of these GTC, a trader means any natural or legal person or partnership with legal personality who, when entering into a legal transaction, acts in the exercise of his or her trade, business or profession.

1.5 The subject matter of the contract may, depending on the Seller’s product description, be the supply of goods either as a one-off delivery or on a continuing basis (hereinafter “subscription contract”). In the case of a subscription contract, the Seller undertakes to supply the Customer with the goods owed under the contract for the agreed duration at the agreed delivery intervals.

2) Conclusion of Contract

2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers on the part of the Seller but serve solely to enable the Customer to submit a binding offer.

2.2 The Customer may submit the offer via the online order form integrated into the Seller’s online shop. In doing so, after placing the selected goods in the virtual shopping basket and completing the electronic order process, the Customer submits a legally binding offer to enter into a contract with respect to the goods contained in the shopping basket by clicking the button which finalises the order process.

2.3 The Seller may accept the Customer’s offer within five days by sending the Customer a written order confirmation or confirmation in text form (e.g. by fax or e-mail), delivering the ordered goods to the Customer, or requesting payment. If several of these alternatives occur, the contract is concluded when the first of these events occurs. If the Seller does not accept the Customer’s offer within this period, the offer shall be deemed rejected.

2.4 When selecting a payment method offered by PayPal, payment processing is carried out via PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg (“PayPal”), under the PayPal User Agreement available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or, if the Customer does not have a PayPal account, under the terms for payments without a PayPal account, available at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. The Seller declares acceptance of the Customer’s offer at the time the Customer clicks the button finalising the order process.

2.5 When selecting the “Amazon Payments” payment method, payment is processed via Amazon Payments Europe s.c.a., 38 Avenue John F. Kennedy, L-1855 Luxembourg (“Amazon”), under the Amazon Payments Europe User Agreement, available at https://pay.amazon.de/help/201751590. When the Customer selects “Amazon Payments” as the payment method during the online order process, he or she also issues a payment instruction to Amazon by clicking the button that finalises the order. In such a case, the Seller declares acceptance of the Customer’s offer at the time the payment process is triggered.

2.6 When submitting an offer via the Seller’s online order form, the contract text is stored by the Seller after conclusion of the contract and sent to the Customer in text form (e.g. by e-mail, fax, or letter). If the Customer has created a user account prior to placing the order, the order data will be archived on the Seller’s website and can be accessed via his or her password-protected account.

2.7 Before submitting the order, the Customer can identify and correct any input errors by carefully reviewing the information displayed on the screen.

2.8 The contract language shall be German.

2.9 Order processing and communication usually take place by e-mail. The Customer must ensure that the e-mail address provided is correct so that e-mails sent by the Seller can be received.

3) Right of Withdrawal

3.1 Consumers generally have a right of withdrawal.

3.2 Detailed information on the right of withdrawal is provided in the Seller’s withdrawal policy.

4) Prices and Payment Terms

4.1 Unless otherwise stated in the Seller’s product description, the prices indicated are total prices including statutory VAT. Any additional delivery and shipping costs are specified separately.

4.2 The available payment methods are communicated to the Customer in the Seller’s online shop.

4.3 If advance payment by bank transfer has been agreed, payment is due immediately upon conclusion of the contract.

4.4 When selecting the payment method “SOFORT”, payment is processed via SOFORT GmbH, Theresienhöhe 12, 80339 Munich (“SOFORT”). To use this payment method, the Customer must have an online banking account activated for SOFORT and confirm the payment instruction. 4.5 When selecting a payment method offered through Shopify Payments, payment is processed by Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (“Stripe”). 5) Delivery and Shipping Terms

5.1 If the Seller offers delivery, the goods will be delivered within the delivery area specified by the Seller to the delivery address provided by the Customer.

5.2 If delivery fails for reasons attributable to the Customer, the Customer shall bear any reasonable costs incurred.

5.3 If the Customer acts as a trader, the risk of accidental loss or deterioration of the goods passes to the Customer once the Seller has handed the goods to the carrier. If the Customer acts as a consumer, the risk passes upon receipt of the goods.

5.4 The Seller reserves the right to withdraw from the contract in cases of incorrect or improper self-supply. The Seller shall make reasonable efforts to procure the goods. If unavailable, the Customer will be informed promptly and refunded.

5.5 Collection by the Customer is not possible.

5.6 Vouchers are provided by e-mail.

6) Term and Termination of Subscription Contracts

6.1 Subscription contracts are concluded for an indefinite period and may be terminated by the Customer at any time without notice.

6.2 The right to terminate for cause remains unaffected.

6.3 Termination may be made in writing, by e-mail, or via the cancellation button on the Seller’s website.

7) Retention of Title

If the Seller makes advance deliveries, ownership of the goods remains with the Seller until full payment of the purchase price.

8) Liability for Defects (Warranty)

Unless otherwise provided, statutory provisions on liability for defects apply. For contracts for the delivery of goods, the following deviations apply:

8.1 If the Customer acts as a trader:
- The Seller may choose the type of subsequent performance.
- For new goods, the limitation period for defect claims is one year from delivery.
- For used goods, defect rights are excluded.
- The limitation period does not restart following replacement delivery.

8.2 The above limitations do not apply to:
- Claims for damages and reimbursement of expenses.
- Fraudulently concealed defects.

10.6 The goods value must at least equal the voucher amount; any remaining balance is not refunded.

10.7 Voucher balances are neither paid out in cash nor subject to interest.

10.8 If the Customer returns goods purchased using a promotional voucher, the voucher will not be refunded.

10.9 Promotional vouchers are transferable.

11) Redemption of Gift Vouchers

11.1 Gift vouchers purchased via the Seller’s online shop may be redeemed only in the Seller’s shop.

11.2 Gift vouchers and remaining balances are redeemable until the end of the third year following purchase.
